Welcome to the website and mobile application (collectively, the “Platform”) of Maven Care Pty Ltd (“Maven Care”, “we”, “us”, or “our”). These Terms of Use govern your access and use of our Platform, including any content, functionality, and services offered on or through the Platform.

By accessing or using our Platform, you agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms of Use or the Privacy Policy, please do not access or use our Platform.

1. About Maven Care
Maven Care is an NDIS-approved provider offering in-home care services to individuals in Australia. Our Platform provides information about our services, care professionals, resources related to disability care, and enables registered users to access certain features and functionalities.

2. Acceptance of Terms
By accessing or using our Platform, you represent that you have read, understood, and agreed to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these Terms of Use or the Privacy Policy, you must not access or use our Platform.

3. Modifications to Terms
We reserve the right to modify or update these Terms of Use and the Privacy Policy at any time. Any changes will be effective immediately upon posting on our Platform. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms of Use and Privacy Policy.

4. Eligibility
Our Platform is intended for individuals aged 18 or older or those who have reached the age of majority in their jurisdiction. If you are under the age of 18 or have not reached the age of majority, you must have your parent’s or legal guardian’s permission to use our Platform.

5. Account Registration
Certain features and functionalities of our Platform may require you to create an account. You agree to provide accurate, current, and complete information when creating an account and to keep your account information up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for any activity occurring under your account.

6. Intellectual Property
The Platform and its entire contents, features, and functionality, including but not limited to text, graphics, logos, images, and software, are owned by Maven Care or its licensors and are protected by Australian and international intellectual property laws. You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Platform, except as expressly permitted by these Terms of Use.

7. User Content
Our Platform may allow you to upload, submit, or otherwise provide content, including but not limited to text, images, and videos (“User Content”). By submitting User Content, you grant Maven Care a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Platform and Maven Care’s business operations.

You represent and warrant that you own or have the necessary rights and permissions to use and authorize Maven Care to use the User Content as described herein. You further represent and warrant that the User Content does not and will not infringe upon any third party’s intellectual property rights, rights of publicity or privacy, or other legal rights.

8. Prohibited Conduct
You agree not to use the Platform for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use and enjoyment of the Platform. You shall not attempt to gain unauthorized access to any portion of the Platform or any other accounts, computer systems, or networks connected to the Platform or to any of the services offered on or through the Platform, through hacking, password mining, or any other means.

9. Third-Party Links and Content
The Platform may contain links to third-party websites or resources. Maven Care does not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party websites or resources. You acknowledge and agree that Maven Care shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or resources.

10. Disclaimer of Warranties
The Platform and all information, content, materials, products, and services included on or otherwise made available to you through the Platform are provided on an “as is” and “as available” basis without warranties of any kind. Maven Care disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Maven Care does not warrant that the Platform or any portion thereof, or any materials or content offered through the Platform, will be uninterrupted, error-free, omission-free, or free of viruses or other harmful components.

11. Limitation of Liability
In no event shall Maven Care, its affiliates, directors, officers, employees, agents, contractors, or licensors be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with the Platform, inability to access or use the Platform, or any content or information contained on the Platform, regardless of the cause of action and whether or not Maven Care has been advised of the possibility of such damages.

12. Indemnification
You agree to indemnify, defend, and hold harmless Maven Care, its affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with your access to or use of the Platform, your violation of these Terms of Use or any law or regulation, or your violation of any third party’s rights.

13. Governing Law and Jurisdiction
These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts located in New South Wales, Australia.

14. Termination
Maven Care reserves the right, in its sole discretion, to terminate or suspend your access to all or part of the Platform, with or without notice, for any reason, including without limitation, breach of these Terms of Use.

15. Severability
If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Maven Care regarding your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written.
